SUMMONS

Ordinary General Meeting of BRINTEX SA Shareholders for the date of 27.05.2024, 12:00, at the company headquarters in Braşov, Str. M. Kogălniceanu no. 23, bl. C 7, et. VI, office 602, room 1, Braşov county, having as reference date (conf. art. 123 of Law 31/1990) the date of 10.05.2024, with the following agenda:
– Presentation, debate and approval of the administrator’s annual report on the financial statements for 2023;
– Presentation and debate of the censors’ commission report;
– Approval of the company’s balance sheet and the profit and loss account for the financial year 01.01.2023 – 31.12.2023 and the distribution of the net result recorded by the company in the financial year 2023;
– Approval of the Activity Report of the sole administrator Vasilache Adrian and his discharge for the 2023 financial year;
– Mandate for fulfilling the forms of publicity regarding AGOA decisions.

In the event that the General Assembly will not be able to deliberate and vote validly, a second General Assembly is convened for the day of 28.05.2024, 12:00, while maintaining the agenda, time and venue.
The materials related to the issues included on the agenda of the general meeting, including the management report of the sole administrator and the financial statements related to the year 2023 are made available to the shareholders under the conditions of art. 117² para. 1 of Law 31/1990 to be studied; at the shareholders’ request, the materials can be delivered to them, in copies.
Powers of attorney will be submitted to the company headquarters in accordance with art. 125 paragraph (3) of Law 31/1990, republished, until 23.05.2024 at 12:00 at the latest.
