The agenda of the meeting included the following items:
1. Acknowledgment by the Company’s Associates of the transfer of ownership over the shares held by the associate Mihai Rida in the Company to the heiress Elena Rida as a legal inheritance according to the Certificate of Heir no. 2 dated 26.02.2024 issued by BIN Caba Oana, based in Ovidiu, county Constant;
2. Approval by the Company’s Associates of the new structure of the Company’s share capital;
3. Approval by the Company’s Associates of the updated version of the Company’s Constitutive Act;
4. Approval by the Company’s Associates of the powers to be granted for the registration and execution of the Decision;
The associates decided the following:
1. Acknowledgment by the Company’s Associates of the transfer of ownership over the social shares
The General Assembly of the Society’s Associates acknowledges that, following the death of the associate Mihai Rida and the completion of the inheritance debate procedures; the 15 shares, having a nominal value of 10 lei each and a total value of 150 lei, representing 12% of the Company’s share capital and having a 12% profit and loss share, were transferred through the effect of legal inheritance to Elena Rida as the heir according to the Heir Certificate no. 2 of 26.02.2024, issued by BIN Caba Oana, based in Ovidiu, county Constant.
2. Approval by the Company’s Associates of the new structure of the Company’s share capital.
As a result of the above-mentioned operation, the share capital of the Company will have the value of 1,250 lei, cash contribution, paid in full, divided into 125 shares, each with a nominal value of 10 lei, held as follows:
• Tudor Ştefan owns 15 shares, with a nominal value of 10 lei each and a total value of 150 lei, representing 12% of the Company’s share capital and having a 12% share in profits and losses;
• Elena Rida owns 15 shares, with a nominal value of 10 lei each and a total value of 150 lei, representing 12% of the Company’s share capital and having a 12% share in profits and losses;
• Pavel Ioan-Radu owns 15 shares, with a nominal value of 10 lei each and a total value of 150 lei, representing 12% of the Company’s share capital and having a 12% profit and loss share;
• Camburi Constantin owns 15 shares, with a nominal value of 10 lei each and a total value of 150 lei, representing 12% of the Company’s share capital and having a 12% share in profits and losses;
• Bela Constantin owns 15 shares, with a nominal value of 10 lei each and a total value of 150 lei, representing 12% of the Company’s share capital and having a share in profits and losses of 12%;
•Pufleni Donchi owns 8 shares, with a nominal value of 10 lei each and a total value of 80 lei, representing 6.40% of the Company’s share capital and having a 6.40% profit and loss share;
•Pufleni Alexandru Dumitru owns 7 shares, with a nominal value of 10 lei each and a total value of 70 lei, representing 5.60% of the Company’s share capital and having a profit and loss participation rate of 5.60%;
•Dascălu Valentin-Ică owns 10 shares, with a nominal value of 10 lei each and a total value of 100 lei, representing 8% of the Company’s share capital and having an 8% share in profits and losses;
•Naxxar Wind Farm Four SRL owns 25 shares, with a nominal value of 10 lei each and a total value of 250 lei, representing 20% of the Company’s share capital and having a 20% share in profits and losses.
By derogation from the provisions of art. 21 of the Company’s Constitutive Act, the General Meeting of the Company’s Associates hereby approves, authorizes and empowers with full powers the Company’s administrator, Dumitru Rida, to independently and separately carry out on behalf of and for the Company all and any steps necessary for registration and execution of this Decision, including but not limited to:
– to represent the Company and its associates before any notary public, any competent Land Registry and Publicity Office, the tax authorities or any other relevant Romanian authorities, for the purpose of registering and executing this Decision and performing all the necessary operations and formalities in connection with these;
– to sign, submit and receive in the name and on behalf of the Company any document necessary for carrying out the operations mentioned herein;
-to subdelegate any and all of the powers hereby conferred to any person, at their own will, who may be authorized to act individually and independently.
The decision was published in the Official Gazette part IV no. 1982 dated April 22, 2024.
